I. INTRODUCTION
A. Parties and Definitions
These Mobile Banking Terms and Conditions (the "Mobile Terms") govern your use of Cross River Bank's mobile banking application and services and your use of our web-based online banking channel. These Mobile Terms constitute an addendum to and are incorporated into your Account Agreement (if any conflicts exist between these Mobile Terms and your Account Agreement, these Mobile Terms shall prevail).
Definitions:
- “Account Agreement” means the Business Online Banking Customer Agreement, Internet Banking Terms and Conditions, Deposit Account Agreement, and any other terms and conditions entered into between you and Cross River Bank governing your Cross River Bank account or services (including the Electronic Fund Transfers disclosure, the Funds Availability Disclosure, the Schedule of Fees and the dispute-resolution provisions contained in or incorporated into it, as applicable), as the same may be amended, supplemented or otherwise modified from time to time.
- "We," "us," "our" means Cross River Bank, and its affiliates, subsidiaries, successors and assigns.
- "You," "your" means the customer who is authorized to access and use the Mobile Banking Service. For a business customer, the terms include the legal entity customer (“Company”) and each user the Company designates. If there is more than one account owner, these words mean each owner separately and all owners jointly. If you permit another person to use the Mobile App on your behalf, you represent and warrant that such person is authorized by you and you remain fully responsible for their use.
- "Access Credentials" means the username, password, security code, one-time passcode or other means of access we establish or provide to you.
- Mobile App" means the Cross River Bank mobile banking application software that you download and install on your Mobile Device.
- "Mobile Banking" means engaging with Cross River Bank and your Cross River Bank accounts via the Mobile App.
- "Mobile Device" means your compatible smartphone, tablet, or other wireless device on which you install and access the Mobile App.
- "Business Day" means Monday through Friday, excluding federal holidays, as posted at www.crossriver.com.
B. Agreement Acceptance
By downloading the Mobile App, enrolling in Mobile Banking, or conducting any transaction through the Mobile App [or via our website], you accept and agree to be bound by these Mobile Terms. You reaffirm your acceptance each time you use the Mobile Banking Service.
These Mobile Terms are an integral part of your Account Agreement. Your consent to receive electronic communications under your Account Agreement extends to all notices, disclosures, and communications related to Mobile Banking.
II. MOBILE BANKING SERVICES
A. Service Overview The Mobile Banking Service allows you to:
- View account balances and transaction history
- Transfer funds between your Cross River Bank accounts
- Send domestic wire transfers
- Deposit checks using Mobile Deposit (if enrolled)
- Manage debit cards (view, lock/unlock, set PIN)
- View and download statements and notices
- Request stop payment orders on paper checks (electronic stop payment orders must be requested by telephone)
- Initiate transfers to and from external accounts you have registered, where enabled
- Update profile information and preferences
- Receive account alerts and notifications
- Access other features we may add from time to time
Service Availability: We will use commercially reasonable efforts to make Mobile Banking available 24/7. We will attempt to schedule maintenance that limits availability between 12:00 A.M. and 6:00 A.M. Eastern Time on Mondays and Thursdays. However, the service may be temporarily unavailable due to scheduled or emergency system maintenance, internet or cellular network outages, Mobile Device or operating system issues, or force majeure events or disasters.
Balances and Pending Items. Mobile Banking is a tool to help you review whether items are posting correctly. We cannot guarantee the accuracy of pending transactions and may not display a transaction until it is permanently paid from your account. Balances displayed are not a substitute for your own records and should not be relied on to determine available funds. For how your balance is calculated, see your Account Agreement.
Transaction Limits and Cut-Off Times. Transaction limits and cut-off times applicable to your account are set out in your Account Agreement and, where applicable, displayed in the Mobile App. Except for the Mobile Deposit cut-off in Section V, the cut-off times in your Account Agreement control.
We reserve the right to modify, add, or remove Mobile Banking features at any time with or without notice. We may refuse any transaction request for security, compliance, or operational reasons.
B. Eligibility and Enrollment
- You must be enrolled in Cross River Bank Mobile Banking
- You must have an active Cross River Bank deposit account in good standing governed by an Account Agreement
- You must have a compatible Mobile Device
- You must download the Mobile App from an authorized app store (Apple App Store or Google Play Store)
- You must accept these Mobile Terms
- You must be located in a geographic area where Mobile Banking is supported
- For Company clients, an authorized signer must designate each user and that user's entitlements and certify their authority to do so. The Company remains responsible for all activity conducted under credentials it has requested, including activity exceeding a user's designated entitlements.
Account Access: You will use your existing Mobile Banking credentials (username and password) to log into the Mobile App. You may also enable biometric authentication (fingerprint or facial recognition) if your Mobile Device supports it.
Biometric Authentication. Enrollment is completed in your device settings and is limited to one set of Access Credentials. Biometric data is encrypted and stored on your Mobile Device only; it is not made available to us or to our application provider. IMPORTANT: you should not permit any other individual's fingerprint or face to be enrolled on a Mobile Device on which you have enabled this feature. If you do, that individual may be able to access your accounts, and transactions they conduct will be treated as authorized by you. You may disable the feature at any time in your device security preferences. We may disable it at any time.
C. Mobile Device Requirements
Your Responsibility: You are responsible for obtaining and maintaining a compatible Mobile Device and cellular/data service at your own expense; ensuring your Mobile Device has adequate security features and software updates; all data, text messaging and other carrier charges; protecting your Mobile Device from unauthorized access, theft or loss; and installing Mobile App updates when released.
Compatible Devices: iOS 15.0 or higher; Android 10.0 or higher; active internet connection; minimum 100MB available storage. Your Mobile Device must support industry-standard encryption (minimum 128-bit).
We recommend you keep your operating system updated, use a strong passcode or biometric lock, install reputable anti-malware software, avoid untrusted app sources, and never jailbreak or root your device. We are not responsible for any malware, viruses, or security vulnerabilities affecting your Mobile Device or for any resulting unauthorized access to your accounts.
III. FEES
Mobile Banking Fees: There is currently no fee charged by Cross River Bank to download, install, or use the Mobile Banking Service.
Other Applicable Fees: Standard fees for your deposit accounts, wire transfers, stop payment orders, paper statement copies, returned deposited items, overdrafts, and other banking services continue to apply when you use those services through Mobile Banking. Those fees are set out in the Schedule of Fees forming part of your Account Agreement.
Mobile Carrier Charges: Your mobile carrier may charge you for data usage, text messages, or other services. These charges are your responsibility.
Future Fees: We reserve the right to institute fees for Mobile Banking in the future. If we do, we will provide you with at least 30 days' advance notice in accordance with your Account Agreement.
IV. ALERTS AND NOTIFICATIONS
When you enroll in Mobile Banking, you are automatically enrolled to receive transaction alerts and notifications ("Alerts"), including certain Alerts for which preferences cannot be set. Alerts may report low balances, large transactions, deposits and withdrawals, payment confirmations, security events and service updates.
Alert Management: You can customize your Alert preferences through the Mobile App or Mobile Banking website. You may opt out of Alerts at any time by changing your preferences, except for security and legally required notices. We may add new Alerts or discontinue existing Alerts at any time. We will attempt to notify you when we discontinue Alerts, but are not obligated to do so.
Delivery Methods: push notification, SMS text message, email, or in-app message. You must provide and maintain current contact information. If your contact information changes, you must immediately update it and you are responsible for updating your Alert preferences accordingly.
To Stop SMS Alerts: Text "STOP" to 48179. This stops text message Alerts only. For Help: Text "HELP" to 48179 or call Customer Service at 201-808-7000.
Participating Carriers: Our SMS Alert service is available through major U.S. carriers including AT&T, T-Mobile, Verizon Wireless, U.S. Cellular, Metro PCS, and others. Message and data rates may apply.
Not Encrypted: Alerts sent via SMS text message and email are not encrypted. We will never include your full account number or password in an Alert, but Alerts may include your name and partial account information. Alerts may remain available on the system for a limited period (some for only thirty calendar days) and you will not be notified when they are removed.
No Guarantee / No Liability: Alerts are provided as a convenience for informational purposes only and do not constitute an official bank record. We do not guarantee timely delivery, delivery in any particular order, or accuracy or completeness of content. You agree that we and our directors, officers, employees, agents and service providers shall not be liable for non-delivery, delayed or misdirected delivery, inaccurate content, or your reliance on Alert information, or for any act or omission of any other person in reliance on an Alert. You should not rely solely on Alerts to monitor your accounts.
V. MOBILE DEPOSIT (REMOTE DEPOSIT CAPTURE)
Mobile Deposit is available to enrolled customers. The following additional terms apply.
Eligible items: personal checks payable to you; business checks payable to you or your Company (for business accounts); cashier's checks and money orders payable to you; U.S. Treasury checks payable to you.
Ineligible items include: checks payable to anyone other than you; third-party checks; checks drawn on non-U.S. institutions; checks not payable in U.S. dollars; checks dated more than 6 months prior to deposit; post-dated checks; items already deposited or cashed; items showing evidence of alteration or suspected fraud; substitute, remotely created or copied checks; money orders or cashier's checks exceeding $5,000 per item without prior approval (this per-item threshold is separate from, and additional to, the aggregate daily limit below); traveler's checks; and items with illegible images or missing information.
Endorsement: You must endorse the back of the check with your signature and the notation "For Mobile Deposit Only at Cross River Bank."
Daily Cut-Off Time: Mobile Deposits received before 5:00 PM Eastern Time on a Business Day will be considered deposited on that Business Day. Deposits received after 5:00 PM Eastern Time will be considered deposited on the next Business Day.
Funds Availability: Funds from checks deposited using Mobile Deposit will generally be available according to the Funds Availability Disclosure forming part of your Account Agreement.
We may place holds on Mobile Deposits in accordance with that disclosure, including for accounts open less than 30 days, accounts with repeated overdrafts, items we have reason to believe may be uncollectible, and large or unusual deposits. Nothing in these Mobile Terms is a representation as to when funds will be available; the Funds Availability Disclosure in your Account Agreement controls.
Deposit Limits: We may establish and change limits on the number of checks per day and the dollar amount per check, per day and per month. Unless a different limit is displayed in the Mobile App or agreed with you in writing, the aggregate limit is $5,000 per Business Day. Lower limits apply during the first 30 days after your first deposit. Current limits are displayed in the Mobile App and control where they differ from this Section.
Handling the Original Check: After successfully submitting a Mobile Deposit, you must securely store the original check for 14 calendar days and until the deposit has been credited to your account and the funds are available for withdrawal. After the retention period you must destroy the original by shredding or other secure means.
Multiple Presentment: You are responsible for ensuring that each check is deposited only once. If a check is presented for payment more than once, you will be liable for the duplicate deposit amount plus any fees, charges, or losses we incur.
Right to Reject: We reserve the right to reject any check deposited through Mobile Deposit for any reason, including poor image quality, suspected fraud, or other risk factors. We may also deny access to Mobile Deposit without prior notice if we are unable to confirm your authority or believe such action is necessary for security reasons.
Errors and Disputes: If you believe there is an error with your Mobile Deposit, contact us immediately at 201-808-7000, provide your account number, deposit amount, date of deposit and a description of the error, and keep the original check until the error is resolved. We will investigate in accordance with the error resolution procedures in your Account Agreement. See Section VI.D.
VI. SECURITY, UNAUTHORIZED ACCESS AND ERROR RESOLUTION
Protect Your Credentials: You are responsible for maintaining the confidentiality and security of your Mobile Banking username and password, your Mobile Device, any biometric authentication methods you enable, and your email and phone number used for account access and alerts. Never share your login credentials with anyone. Bank employees will never ask for your password.
If you provide or disclose your Access Credentials to a third party, you agree that person or entity acts on your behalf, and any transaction they perform using those credentials will be considered authorized by you, even if not intended by you. We do not manage your third-party relationships and, as permitted by law, will not liable to you if a third party exceeds the authority you gave them.
Lost or Stolen Mobile Device: If your Mobile Device is lost, stolen or compromised you must contact us immediately at 201-808-7000, change your password as soon as possible, and disable the Mobile App remotely if your device supports it.
Liability for Unauthorized Transactions: Your liability for unauthorized transactions will be determined in accordance with your Account Agreement and applicable law. Generally, for consumer accounts, your liability is limited if you notify us promptly, but you may be liable for greater amounts if you delay notification.
D. Error Resolution and Unauthorized Transfers - Incorporated by Reference
CONSUMER ACCOUNTS. Your rights and our obligations with respect to unauthorized electronic fund transfers and errors involving your account - including the timeframe for reporting, the tiered limits on your liability, our investigation and provisional-credit obligations, and your right to documentation - are governed by the Electronic Fund Transfers disclosure in your Account Agreement and by Regulation E, 12 CFR Part 1005. Those provisions apply in full to transfers you initiate through Mobile Banking, including Mobile Deposits and transactions initiated with a debit card you manage in the Mobile App. Nothing in these Mobile Terms limits, waives or shortens any right you have under that disclosure or under Regulation E, and to the extent any provision of these Mobile Terms conflicts with it, that disclosure controls. To report an unauthorized transfer or an error, telephone 201-808-7000 or write to Cross River Bank, Customer Service - Mobile Banking, 2115 Linwood Ave., Fort Lee, NJ 07024, as soon as possible. Reporting deadlines are stated in your Account Agreement and are not shortened by these Mobile Terms.
BUSINESS ACCOUNTS. Regulation E does not apply. You must verify and reconcile any out-of-balance condition and notify us of any error within 10 Business Days after the applicable statement or detail report is made available to you. If you notify us within that period, we will correct and resubmit erroneous files, reports and data at our then-standard charges, or at no charge if the error resulted directly from our error. Failure to notify us within that period means you accept the statement or report as correct, except as otherwise required by law. You assume exclusive responsibility for the consequences of instructions you give us, for failures to access Mobile Banking in the manner we prescribe, and for failure to supply accurate input information. You assume full responsibility for any misuse or unauthorized use of Mobile Banking, or disclosure of your confidential information or instructions, by your employees, agents or other third parties.
VII. FUNDS TRANSFERS AND WIRE TRANSFERS
Authorization. By directing us to transfer funds or initiate a payment through Mobile Banking, you authorize us to withdraw from the designated account the funds required to complete the transaction. All instructions we receive through Mobile Banking regarding transfers, payments, changes to account information and other communications are deemed your legal endorsement.
Reliance on identifying numbers. If you identify a financial institution or beneficiary by both name and number, we and every receiving or beneficiary institution may rely on the identifying number to make payment, even if the number identifies an institution, person or account other than the one named. You are responsible for the accuracy of the information you supply.
ACH and provisional credit. You agree to be bound by the operating rules of Nacha. Under those rules, payments made to you or originated by you are provisional until final settlement through a Federal Reserve Bank. If we do not receive final settlement, we are entitled to a refund from you of the amount credited to your account, and the originator will not be considered to have paid you. If we receive a payment order to credit your account by wire or ACH, we are not required to give you notice of the order or the credit.
External transfers. Where enabled, you may register external accounts you have authority to access. External transfers are processed as ACH transfers and may take up to 3 Business Days. Dollar limits apply to the total of all transfers to a specific external account on a given day, and a transfer initiated on a non-Business Day counts toward the next Business Day's total. We may change transfer limits at any time; any decrease will be subject to notice to the extent required by law.
Modification and cancellation. A scheduled future-dated transfer may be modified or cancelled if we receive your instruction before 9:00 p.m. Eastern Time on the day preceding the scheduled transfer date. A transfer that has already occurred cannot be modified. 'Processing date' means the date processing begins, not the date funds become available.
Wire transfers. Domestic wire transfers initiated through the Mobile App are subject to our wire transfer agreement, security procedures, cut-off times and fee schedule, and to Article 4A of the Uniform Commercial Code. We may require additional authentication and may refuse or delay any wire for security, sanctions-screening or operational reasons.
Stop payments. In order to request a stop payment order on a paper check (if the item has not been presented for payment) and on electronic payments, please contact us by telephone at 201-808-7000. We are entitled to a reasonable period to act on a stop payment request. Fees and your rights and duties are as set out in your Account Agreement.
VIII. SOFTWARE LICENSE
Subject to these Mobile Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to download, install, and use the Mobile App on your Mobile Device solely for the purpose of accessing your Cross River Bank accounts and using Mobile Banking Services. The Mobile App and all intellectual property rights therein are owned by Cross River Bank and/or our third-party licensors.
The Mobile App, including all software code, user interface, graphics, documentation, and all intellectual property rights therein, is owned by Cross River Bank and/or our third-party licensors. All rights not expressly granted to you are reserved.
You agree that you will NOT: modify, reverse engineer, decompile or create derivative works; remove proprietary notices; use the Mobile App for any illegal or unauthorized purpose; rent, lease, sell, sublicense or transfer it; transmit viruses or harmful code; attempt to gain unauthorized access to our systems or other users' accounts; use automated means to access it; interfere with its integrity or performance; or copy, frame or mirror any part of it. You will not make the service available in a computer bureau service business or timesharing arrangement, or otherwise permit its use by or for the benefit of any third party. If you are a Company client, you will use Mobile Banking only for your own internal business purposes.
We may release updates, upgrades, patches, or new versions from time to time. You agree to promptly install updates. We may require you to accept additional or updated terms in connection with updates, and may modify or discontinue the Mobile App at any time with or without notice. We may terminate access for prior versions of the Mobile App and limit access to the most recent release.
Data Collection: we and our service providers may collect and use technical information about your Mobile Device, operating system and Mobile App usage to provide and improve the service, facilitate updates and support, enhance security and detect fraud, and analyze usage patterns. Our collection and use of personal information is governed by our Privacy Policy at www.crossriver.com/privacy.
Export Controls: You represent that you are not located in, or a resident or national of, any country subject to U.S. embargo or trade sanctions, and are not on any U.S. government list of prohibited or restricted parties.
Sanctions and prohibited transactions. You agree not to conduct any transaction that would violate the laws of any state or of the United States, including the economic sanctions administered by the U.S. Treasury's Office of Foreign Assets Control. You may not use your account or any account-related service, including Mobile Banking, to process unlawful internet gambling transactions or to facilitate any activity that would violate applicable law.
IX. DISCLAIMERS AND LIMITATIONS
AS-IS BASIS: THE MOBILE BANKING SERVICE AND MOBILE APP ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT, AND WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE. WE ALSO DISCLAIM ANY WARRANTY TO PROVIDE TECHNICAL SUPPORT.
You acknowledge that there are security, corruption, transmission-error and availability risks associated with open networks such as the internet and cellular networks, and with the use of a wireless device for banking, including that in the event of loss or theft your confidential information could be compromised. You accept the risk that an item may be intercepted or misdirected in transmission, and we bear no liability to you or others for disclosure of information resulting from such interception or misdirection.
LIMITATION OF LIABILITY: WE AND OUR AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, SERVICE PROVIDERS AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE OR EXEMPLARY DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OR INABILITY TO USE MOBILE BANKING, ANY UNAUTHORIZED ACCESS TO YOUR ACCOUNTS, ANY INTERRUPTION OF SERVICE, ANY MALWARE, ANY ERRORS OR OMISSIONS, ANY LOSS OF DATA, INCOME, PROFITS OR BUSINESS OPPORTUNITIES, OR PERSONAL INJURY OR PROPERTY DAMAGE.
Maximum Liability - CONSUMER ACCOUNTS. Our total liability to you for all damages, losses and causes of action arising from the Mobile Banking Service shall not exceed the greater of (a) the fees you paid us for Mobile Banking Service in the 12 months preceding the claim and (b) $100. THIS LIMITATION DOES NOT APPLY TO, AND DOES NOT LIMIT IN ANY WAY, YOUR RIGHTS OR OUR OBLIGATIONS WITH RESPECT TO UNAUTHORIZED ELECTRONIC FUND TRANSFERS OR ERRORS UNDER REGULATION E OR UNDER THE ELECTRONIC FUND TRANSFERS DISCLOSURE IN YOUR ACCOUNT AGREEMENT, WHICH GOVERN AND ARE UNAFFECTED BY THIS SECTION.
Maximum Liability - BUSINESS ACCOUNTS. Our liability shall be limited to direct damages, and only to the extent such damages are a direct result of our gross negligence or willful misconduct, provided that our maximum aggregate liability shall not exceed the total fees you paid for the service resulting in such liability in the six-month period preceding the date the claim accrued. Our licensors and suppliers shall have no liability to you in connection with any matter. In no event shall our responsibility for penalties or late fees assessed against you due to our wrongful act or omission exceed $100.00.
Failed transfers and payments. If we fail to complete a transfer or payment from your account on time or in the correct amount in accordance with these Mobile Terms, we will be liable for direct losses associated with that failure, not to exceed the amount of the transfer or payment, except that we will not be liable where: you do not have sufficient available funds; the account is closed, on hold or freeze status, or not in good standing; the transfer would exceed a credit limit; you did not instruct us in time; you gave us incomplete, incorrect or outdated information; circumstances beyond our control prevented the transaction, including equipment or communications failure, denial-of-service attack, maintenance, unauthorized access, theft, operator error, severe weather, earthquake, fire, flood, strike or other labor dispute; the service was unavailable and you knew or had been advised of it; another party or financial institution failed to perform; there is an allegation of fraudulent activity concerning the account; or your Account Agreement provides that the transfer or payment cannot be completed. If you are a consumer, this paragraph does not limit any right you have under Regulation E.
Service Interruptions: We shall not be liable for any loss, damage or inconvenience caused by system maintenance, internet or network outages, mobile carrier interruptions, power failures or equipment malfunctions, natural disasters, acts of God, war, terrorism, civil unrest or government restrictions, or any cause beyond our reasonable control. During disasters or emergencies, Mobile Banking may be suspended to allow emergency responders to use cellular networks.
X. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Cross River Bank, our affiliates, and our respective directors, officers, employees, agents, and service providers from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: your use or misuse of the Mobile App or Mobile Banking Service; your violation of these Mobile Terms; your violation of any law, regulation, or third-party rights; any negligence, willful misconduct, or fraud by you; any dispute between you and a third party; multiple presentment of checks through Mobile Deposit; any transaction or attempted transaction on your account, including fraudulent or unauthorized activity, whether or not conducted by a third party to whom you provided Access Credentials; the processing of any stop payment request; any transmission or instruction, whether or not authorized, acted upon by us in good faith; and any unauthorized access to your account resulting from your failure to safeguard your credentials or Mobile Device.
Nothing in this Section requires a consumer to indemnify us for any loss arising from an unauthorized electronic fund transfer for which the consumer is not liable under Regulation E or under the Electronic Fund Transfers disclosure in the Account Agreement.
This indemnification obligation survives termination of these Mobile Terms and your use of Mobile Banking.
XI. DISPUTE RESOLUTION
Governing Law: These Mobile Terms shall be governed by and construed in accordance with the laws of the State of New Jersey and applicable federal law, without regard to conflict of law principles. To the extent any part of these Mobile Terms is unenforceable, the remainder is unaffected and the unenforceable part will be modified as necessary to comply with applicable law.
Dispute Resolution Provisions Incorporated by Reference. The dispute resolution provisions of your Account Agreement apply to any dispute arising out of or relating to these Mobile Terms, the Mobile App or the Mobile Banking Service, and are incorporated into these Mobile Terms by reference as if set out in full. Those provisions are not modified, expanded or narrowed by these Mobile Terms.
XII. GENERAL PROVISIONS
Entire Agreement: These Mobile Terms, together with your Account Agreement and all related account agreements, constitute the entire agreement between you and Cross River Bank regarding the Mobile Banking Service. To the extent of any conflict, these Mobile Terms supersede and replace the Internet Banking Terms and Conditions dated 7/11/2023 and the Business Online Banking Customer Agreement with respect to your use of Mobile Banking. They do not generally supersede your Account Agreement, its Schedule of Fees, its Funds Availability Disclosure or its Electronic Fund Transfers disclosure, each of which remains in full force and effect.
Amendments: We may amend these Mobile Terms at any time by providing notice to you in accordance with your Account Agreement. Notice may be provided electronically through the Mobile App, email, or Mobile Banking message center, or by posting on our website. By continuing to use Mobile Banking Service after the effective date of any amendment, you agree to be bound by the amended terms.
Termination by You: You may terminate your use of Mobile Banking at any time by uninstalling the Mobile App from all your Mobile Devices, contacting Customer Service at 201-808-7000, or closing your Mobile Banking enrollment.
Termination by Us: We may terminate or suspend your access to Mobile Banking at any time, with or without cause or notice, including if you breach these Mobile Terms or your Account Agreement; you engage in fraudulent, abusive or illegal activity; you have excessive overdrafts, returned items or chargebacks; your account is closed or becomes inactive; we suspect unauthorized access; we discontinue the service; or we are required to do so by law or court order. We may also suspend access immediately where we reasonably determine suspension is necessary to protect the service or us from harm or from compromise of integrity, security, reputation or operation. We may terminate your enrollment if you do not log in for 180 consecutive calendar days.
Effect of Termination: Your license to use the Mobile App immediately ends; you must uninstall it; you lose access to Mobile Banking features; pending transactions may be cancelled or completed at our discretion; and these Mobile Terms continue to apply to transactions made prior to termination. Termination of Mobile Banking does not automatically close your deposit accounts or terminate your Account Agreement unless you separately request such closure or termination.
Severability; Waiver; Assignment: If any provision is invalid, the remainder continues in effect. Our failure to enforce any provision is not a waiver; no waiver is effective unless in writing and signed by an authorized officer. You may not assign these Mobile Terms without our prior written consent; we may assign them at any time and may delegate rights and responsibilities to independent contractors or other third parties.
Third-Party Beneficiaries: Our third-party service providers and licensors of the Mobile App are intended third-party beneficiaries of these Mobile Terms and may enforce the provisions that benefit or protect them.
H. Relationship of Terms
In the event of any conflict between these Mobile Terms and your Account Agreement, these Mobile Terms shall govern with respect to the Mobile Banking Service. All other terms of your Account Agreement remain in full force and effect.
Your use of specific account types remains subject to the agreements governing those accounts, which are not superseded by these Mobile Terms.
Force Majeure: We shall not be liable for any failure or delay in performing our obligations if due to causes beyond our reasonable control, including acts of God, war, terrorism, strikes, natural disasters, epidemics, pandemics, government restrictions, utility failures or network outages.

XIV. ADDITIONAL TERMS
Consumer Protection Notice: If you are consumer, your rights and liabilities regarding unauthorized transactions and errors are governed by federal law (Regulation E for electronic fund transfers) and your Account Agreement. Please review those materials carefully to understand your liability limits for unauthorized transfers if you notify us promptly, your obligation to review statements and report errors within specific timeframes, our error resolution procedures and timelines, and your rights to documentation and account information.
Business Account Notice: If you are a Company client, different rules apply to business accounts, and you may have greater liability for unauthorized transactions. Please carefully review your Account Agreement.

Signatures and Acceptance: You agree to all applicable provisions of these Mobile Terms by using Mobile Banking, performing any transaction, or completing an electronic consent. Your use of Mobile Banking or your electronic consent has the same effect as a physical signature, and no certification authority or third-party verification is necessary to verify its validity. Selecting an item, button or icon in the Mobile App constitutes your signature, acceptance and agreement as if actually signed in writing. Your use of Mobile Banking is also your acknowledgement that you have received a copy of these Mobile Terms; if you would like a paper copy, contact us and we will provide one.
